Terms of Service

• Order: a proposal, quote, invoice, or statement of work that names the services, timeline, and fees.
• Services: web design and development, redesign, local SEO, localization, and related consulting described on our service pages or in an Order.
• Customer Content: copy, logos, images, credentials, and other materials you supply for a project.

The features of a project are those described in the Order. Free site audits and articles on this website are informational. They are not a promise of rankings, traffic, or revenue. We may change what we offer on the marketing site over time. That does not change work already agreed in an Order.

Some tasks may be performed by subcontractors. We remain responsible to you for delivery under the Order. Subcontractors receive only what their task requires and are bound by confidentiality.

A paid project starts when we accept the Order in writing and, if a deposit is required, when that deposit is received. The timeline is the one in the Order. If you are late with feedback, content, or access, delivery dates move by a similar amount.

Either party may stop a project as the Order describes. If the Order is silent, either party may end it with written notice. Work already completed, and costs already incurred, remain payable.

You pay the fees in the Order. Unless the Order says otherwise, invoices are due on the dates stated, commonly a deposit before work starts and the balance before launch or at milestones. Services are billed as agreed and are not provided on open credit.

Late payment may pause work. Fees are exclusive of taxes you are required to pay. We do not store full card numbers on our systems.

Refunds follow the Order. Completed milestones are not refundable. Unused prepaid work may be refunded at our discretion, less costs already incurred. No refund is due if we stop work because you breached these Terms.

• Keep your contact details accurate.
• Supply content, brand assets, and feedback in time for the timeline.
• Confirm you have the rights to materials you give us.
• Use the website lawfully. Do not scrape it in a way that harms availability, attempt unauthorized access, or send spam through our forms.
• Keep your own backups of sites and accounts you control. Unless the Order includes a backup service, backups are your responsibility.

We grant you the right to use project deliverables for your business once the related fees are paid in full, as described in the Order. Unless the Order says otherwise, Boilerlykit keeps the right to reuse non-confidential patterns, components, and know-how, and to show the work in our portfolio. You may ask in writing, before launch, that a project stay confidential or be anonymized.

You grant us a limited right to use Customer Content only to perform the Services. You warrant that Customer Content does not infringe anyone else's rights.

Each party may receive non-public information from the other. Each party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to people who need it and are bound by similar duties, or when the law requires disclosure. These duties continue for three years after the project ends. Trade secrets stay protected for as long as they qualify as trade secrets.

We perform the Services with reasonable professional care. Except as a signed Order states, the website and Services are provided "as is" and "as available". We do not warrant uninterrupted availability, a specific search ranking, or a particular business result. We are not responsible for third-party tools, hosts, or platforms you choose to use after handoff.

To the maximum extent permitted by law, Boilerlykit's total liability arising from a project will not exceed the fees you paid us for that project in the twelve months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, except where the law does not allow that limit.

You will defend and indemnify Boilerlykit against third-party claims that arise from Customer Content or from your unlawful use of the Services, including reasonable legal costs.

We may refuse, pause, or end access to the website or a project if you do not pay, misuse the site, or breach these Terms. For a material breach that can be fixed, we will give you a reasonable time to fix it before ending an active project, unless the issue is urgent (abuse, security, or non-payment).

If a court finds one part of these Terms unenforceable, the rest stays in effect. A delay in enforcing a right is not a waiver. You may not assign these Terms without our written consent. We may assign them to a successor of the business. These Terms do not create a partnership, agency, or employment relationship.

Sections on fees, intellectual property, confidentiality, disclaimers, liability, and this general section survive the end of a project.
